The regulatory framework adds another layer of complexity. The SEC has classified Bitcoin as a non-security, which reduces the compliance burden. But the agency has also signaled increased scrutiny of companies that allocate significant portions of their treasury to volatile assets. Genius Group will need to navigate disclosure requirements, fair value accounting standards, and potential shareholder litigation if the strategy underperforms. The legal exposure is manageable but not trivial.

The deeper question is whether this strategy creates value for shareholders or merely enriches management through narrative-driven stock appreciation. The evidence from MicroStrategy suggests that the market rewards Bitcoin treasury strategies with valuation premiums, at least during bull markets. The competitive landscape reveals the scale of the challenge. MicroStrategy holds over 500,000 Bitcoin. Marathon Digital, a mining company, holds approximately 45,000. Tesla holds roughly 9,700. Genius Group's planned accumulation of 12,000 to 15,000 Bitcoin would place it in the middle tier of corporate holders, but with a fraction of the market capitalization of its peers.
